These Terms of Service ("Terms") constitute a binding legal agreement between you and HousingIntellect, a product of Altus Compliance LLC, a Georgia limited liability company ("HousingIntellect," "Company," "we," "us," or "our"), governing your access to and use of the website located at housingintellect.io, the platform located at app.housingintellect.io, and any related services and content (collectively, the "Services").
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.
1. Eligibility and Authority
1.1 You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Services.
1.2 If you are using the Services on behalf of an entity, you represent and warrant that you have full authority to bind that entity to these Terms. References to "you" include the entity you represent.
1.3 You represent that you are not on any U.S. government list of prohibited or restricted parties and that you will not use the Services in violation of any applicable export controls or sanctions.
2. Accounts and Access
2.1 You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and to update such information as needed.
2.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You will promptly notify us of any unauthorized access or use.
2.3 We reserve the right to refuse, suspend, or terminate accounts at our sole discretion, including where we believe an account has been used in violation of these Terms or applicable law.
3. Customer Agreements
3.1 Use of the HousingIntellect platform by a customer organization is governed by a separate Master Services Agreement ("MSA") executed between HousingIntellect and the customer, including any incorporated Data Processing Agreement, order forms, and statements of work.
3.2 In the event of a conflict between these Terms and an applicable MSA, the MSA controls with respect to the subject matter addressed therein.
4. Acceptable Use
4.1 You agree not to, and not to permit any third party to:
- (a) use the Services for any unlawful purpose or in violation of any applicable law or regulation;
- (b) infringe, misappropriate, or violate any intellectual property right, privacy right, or other right of HousingIntellect or any third party;
- (c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying ideas of the Services;
- (d) copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Services;
- (e) use the Services to develop or train a competing product or service, including any machine learning model or artificial intelligence system;
- (f) access the Services for the purpose of competitive benchmarking, comparison, or analysis;
- (g) introduce any malware, virus, ransomware, or other harmful code;
- (h) interfere with or disrupt the integrity, security, or performance of the Services;
- (i) attempt to gain unauthorized access to any portion of the Services, other accounts, or any connected systems;
- (j) circumvent or attempt to circumvent any access controls, rate limits, or security measures;
- (k) use any automated means, including bots, scrapers, or crawlers, to access or extract data from the Services;
- (l) upload, transmit, or store data that you do not have the legal right to upload, transmit, or store;
- (m) impersonate any person or entity or misrepresent your affiliation;
- (n) use the Services to harass, defame, or harm any person.
4.2 We may investigate and take legal action in response to any prohibited use, including by removing content, suspending or terminating access, reporting to law enforcement, and seeking damages.
5. Restricted Parties
5.1 The Services are not available to, and may not be accessed or used by:
- (a) any person or entity engaged in the development, distribution, or sale of products or services that compete with HousingIntellect, except as an authorized customer using the Services for actual compliance operations under a valid MSA;
- (b) any person or entity acting on behalf of a competitor for the purpose of evaluation, benchmarking, or competitive analysis;
- (c) any person or entity subject to U.S. trade sanctions or located in a country subject to comprehensive U.S. trade sanctions.
5.2 We reserve the right to refuse, suspend, or terminate access to any person or entity at our sole discretion.
6. Intellectual Property Rights
6.1 Ownership of the Services
The Services, including all software, source code, object code, algorithms, interfaces, designs, content, text, graphics, logos, trademarks, service marks, trade names, and trade dress, and all intellectual property rights therein, are and shall remain the exclusive property of HousingIntellect, Altus Compliance LLC, and their licensors. These Terms do not transfer to you any right, title, or interest in the Services or any intellectual property rights, except for the limited rights expressly granted in these Terms or an applicable MSA.
Certain features and methods of the HousingIntellect platform are the subject of one or more pending patent applications. HousingIntellect reserves all rights under applicable patent laws, and reasonable notice of patent pending status is hereby provided. Unauthorized use of any patent-pending technology may result in liability for damages once a patent is granted.
6.2 Trademarks
"HousingIntellect," "Altus Compliance," the HousingIntellect logo, and other names, logos, product and service names, designs, and slogans of HousingIntellect are trademarks of Altus Compliance LLC. You may not use any HousingIntellect trademark without our prior written consent.
6.3 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes during the term of your authorized access.
6.4 Reservation of Rights
All rights not expressly granted in these Terms are reserved by HousingIntellect. No license, right, or interest is granted by implication, estoppel, or otherwise.
6.5 Customer Data
As between HousingIntellect and customer organizations, customers retain ownership of Customer Data. Customers grant HousingIntellect a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and otherwise use Customer Data as necessary to provide the Services and as further described in the applicable MSA.
6.6 Feedback
If you provide feedback, suggestions, ideas, comments, improvements, or other input regarding the Services ("Feedback"), you hereby grant HousingIntellect a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, transferable license to use, reproduce, modify, distribute, and exploit the Feedback for any purpose without obligation or compensation to you.
6.7 Confidential Information
The Services contain confidential and proprietary information of HousingIntellect. You agree to maintain the confidentiality of any non-public information about the Services and to use it only for the purposes authorized by these Terms.
6.8 Marketing Website and Brand Assets
(a) Website Content. The marketing website located at housingintellect.io, including all text, copy, headlines, images, screenshots, videos, illustrations, animations, layouts, design elements, and content arrangements, is the copyrighted property of HousingIntellect and Altus Compliance LLC. No part of the marketing website may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or used for any commercial or competitive purpose without prior written consent.
(b) Platform Screenshots and Demonstrations. Screenshots, videos, animations, and other visual representations of the HousingIntellect platform displayed on the marketing website are proprietary intellectual property of HousingIntellect. These materials are provided for informational and marketing purposes only. Unauthorized reproduction, modification, or use of platform screenshots and demonstration content is prohibited, including without limitation:
- (i) reproduction in competitive product comparisons without express written consent;
- (ii) use as reference material in the development of competing products;
- (iii) reproduction in third-party publications without proper attribution and written consent;
- (iv) modification to create derivative or altered versions;
- (v) use in any context that could imply endorsement, partnership, or affiliation with HousingIntellect.
(c) Trade Dress. The distinctive visual presentation of the HousingIntellect Services and marketing website, including but not limited to color schemes, typography, layout patterns, navigation structures, and overall visual identity, constitutes protected trade dress of HousingIntellect.
(d) Limited Permitted Uses. Notwithstanding the foregoing, the following limited uses are permitted without written consent:
- (i) personal, non-commercial reference;
- (ii) editorial coverage by legitimate journalists or industry analysts, provided the use is fair, accurate, and properly attributes the content to HousingIntellect;
- (iii) social media sharing of marketing content in its original, unmodified form with proper attribution;
- (iv) use by HousingIntellect's authorized customers, partners, and resellers in accordance with separate written agreements.
(e) Reservation. Any use not expressly permitted is prohibited. HousingIntellect reserves all rights and remedies, including injunctive relief and monetary damages, for unauthorized use of website content, platform screenshots, brand assets, or trade dress.
7. Third-Party Content and Services
The Services may contain links to or integrations with third-party websites, services, or content. We do not control and are not responsible for third-party offerings. Your use of third-party offerings is governed by their respective terms and privacy policies.
8. Fees and Payment
8.1 Pricing for the HousingIntellect platform is provided by quote and governed by the applicable MSA. Pricing is subject to change and may vary based on portfolio size, features, and service tier.
8.2 All fees are non-refundable except as expressly provided in the applicable MSA or required by applicable law.
9. Federal Housing Program Data
9.1 Acknowledgment of Regulated Data
You acknowledge that the Services may be used to manage data subject to federal affordable housing program privacy requirements, including HUD Handbook 4350.3, TRACS data handling rules, EIV data restrictions, Privacy Act of 1974 protections, LIHTC tenant file confidentiality under Internal Revenue Code Section 42, and applicable state housing finance agency requirements.
9.2 Customer Compliance Responsibility
You are solely responsible for ensuring that your use of the Services complies with all applicable federal, state, and local laws, regulations, and program requirements governing affordable housing tenant data, including but not limited to:
- (a) Maintaining appropriate consents from tenants for data collection and processing;
- (b) Following EIV data handling restrictions;
- (c) Producing accurate TRACS submissions and other regulatory reports;
- (d) Complying with the Fair Housing Act, the Equal Credit Opportunity Act, and applicable anti-discrimination laws in tenant selection and management decisions.
9.3 No HIPAA Coverage Without BAA
The Services are not intended for the processing of protected health information ("PHI") as defined under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"). You agree not to upload PHI to the Services without first executing a Business Associate Agreement ("BAA") with HousingIntellect. You represent and warrant that data uploaded to the Services does not constitute PHI in the absence of an executed BAA.
9.4 Indemnification for Regulated Data
You agree to indemnify HousingIntellect against any claims, fines, penalties, or losses arising from your failure to comply with federal housing program data requirements, including HUD privacy rules, EIV restrictions, LIHTC tenant file requirements, fair housing laws, or, in the absence of an executed BAA, HIPAA.
9.5 No Compliance Determination
The Services provide compliance support technology, but compliance determinations and regulatory filings remain the customer's responsibility. HousingIntellect does not make eligibility determinations, certify tenant compliance to government agencies, or assume responsibility for the accuracy of customer-submitted data or reports.
10. Termination
10.1 By You
You may terminate your use of the Services at any time by ceasing use and, if applicable, canceling your account pursuant to the terms of your MSA.
10.2 By Us
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including:
- (a) violation of these Terms;
- (b) breach of an applicable MSA;
- (c) conduct that we determine to be harmful to other users, the Services, or HousingIntellect;
- (d) requirement to comply with legal obligations or regulatory directives;
- (e) discontinuation of the Services.
10.3 Effect of Termination
Upon termination, your right to access and use the Services will immediately cease. Provisions that by their nature should survive termination will survive, including Sections 4 through 6, 8, 9, and 11 through 17.
11. Disclaimers
11.1 THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOUSINGINTELLECT DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND QUIET ENJOYMENT.
11.2 WITHOUT LIMITING THE FOREGOING, HOUSINGINTELLECT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
11.3 NO COMPLIANCE OR LEGAL ADVICE. THE SERVICES PROVIDE ASSISTIVE COMPLIANCE TECHNOLOGY AND INFORMATIONAL CONTENT BUT DO NOT CONSTITUTE LEGAL, REGULATORY, FINANCIAL, OR PROFESSIONAL COMPLIANCE ADVICE. CUSTOMERS REMAIN SOLELY RESPONSIBLE FOR THEIR COMPLIANCE WITH ALL APPLICABLE LAWS AND REGULATIONS, INCLUDING WITHOUT LIMITATION HUD, LIHTC, FAIR HOUSING, AND OTHER AFFORDABLE HOUSING PROGRAM REQUIREMENTS. USERS SHOULD CONSULT QUALIFIED LEGAL AND COMPLIANCE PROFESSIONALS FOR PROFESSIONAL ADVICE.
12. Limitation of Liability
12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HOUSINGINTELLECT, ALTUS COMPLIANCE LLC, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST BUSINESS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED.
12.2 THE TOTAL AGGREGATE LIABILITY OF HOUSINGINTELLECT AND ITS AFFILIATES FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO HOUSINGINTELLECT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
12.3 THE LIMITATIONS IN THIS SECTION 12 APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
13. Indemnification
You agree to defend, indemnify, and hold harmless HousingIntellect, Altus Compliance LLC, and their respective officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- (a) your access to or use of the Services;
- (b) your breach of these Terms;
- (c) your violation of any applicable law or regulation, including federal housing program requirements;
- (d) your violation of any rights of any third party;
- (e) any content or data you upload, transmit, or make available through the Services;
- (f) your negligence or willful misconduct.
We reserve the right to assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with our defense.
14. Dispute Resolution
14.1 Informal Resolution
Before initiating any formal proceeding, you agree to attempt to resolve any dispute by contacting us at info@housingintellect.io and engaging in good-faith negotiations for at least thirty (30) days.
14.2 Governing Law
These Terms and any dispute arising out of or related to these Terms or the Services are governed by the laws of the State of Georgia, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14.3 Venue and Jurisdiction
Subject to Section 14.4, any action arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you irrevocably consent to the personal jurisdiction and venue of such courts.
14.4 Injunctive Relief
Notwithstanding the foregoing, HousingIntellect may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to enforce Sections 4, 5, 6, 9, or 13.
15. Changes to the Services and Terms
15.1 We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without liability.
15.2 We may modify these Terms by posting the revised Terms with a new Effective Date. Continued use of the Services after the Effective Date of revised Terms constitutes acceptance. If you do not agree to revised Terms, your sole remedy is to cease use of the Services.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any applicable MSA, constitute the entire agreement between you and HousingIntellect regarding the Services and supersede all prior agreements, representations, and understandings.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.3 Waiver
No waiver of any provision of these Terms will be effective unless in writing and signed by an authorized representative of HousingIntellect. Failure to enforce any right or provision will not constitute a waiver.
16.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. HousingIntellect may freely assign these Terms in connection with any merger, acquisition, financing, or sale of assets.
16.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
16.6 Relationship of the Parties
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and HousingIntellect.
16.7 Force Majeure
Neither party will be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, government action, labor disputes, and internet or telecommunications failures.
16.8 Notices
Notices to HousingIntellect must be sent to info@housingintellect.io. Notices to you may be sent to the email address associated with your account or by posting on the Services.
